Elite Technical is seeking a remote based Attorney and/or Paralegal III who resides in the DMV (DC, MD, VA) area. We are specifically seeking candidates who can assist our client with updating 1K+ vendor contracts with our client's new corporate address. These contracts will require signed amendments which will then be uploaded into their SAP Ariba system.
This position is an advanced position for an experienced attorney and/or paralegal with subject matter expertise in a designated specialty area of the law, such as corporate governance or employment law. The selected candidate provides advanced paralegal and legal support services in his or her area of expertise to the attorneys of Corporate Counsel and to other Divisions or Departments as directed by counsel; investigates and researches complex legal matters; prepares legal documents that require advanced legal knowledge of specific subject areas; assists attorneys with advanced tasks and participate in in-depth activities, such as assisting with acquiring the information needed to prepare for legal meetings and analyzing information; researches complex legal issues, and prepares documents that involve an expert legal knowledge of a specialty area of the law. The Paralegal III must demonstrate advanced knowledge and a solid understanding of the practices, rules, regulations, and procedures of his/her specialty area of the law. The incumbent is expected to apply judgment, critical thought, analysis and thoughtful input commensurate with experience and as applicable to the assignment and require minimal guidance from the attorney/client.
ESSENTIAL FUNCTIONS:
60% - Work in Specialized Area of Expertise
- Review, draft and negotiate a variety of vendor contracts including but not limited to Consulting Services Agreements, Software License Agreements, SaaS Agreements, Non-Disclosure Agreements, etc.
- Ensures contracts adhere to applicable standards, are internally consistent and appropriately cover the legal and risk considerations
- In the area of expertise, manage and coordinate the company-s response to requests for documents and information from outside parties, including, but not limited to, external auditors, regulators, enforcement agencies and litigants, including the collection of documents and records maintained by other departments and the review of documents for privileged or protected information; and identify, locate and provide requested documentation to attorneys or internal staff.
- Prepare and submit appropriate and timely filings as applicable in the area of expertise.
- In the area of expertise, assist with litigation matters and matters before enforcement agencies as needed, including tangible and electronic document production and discovery; document hold notices; case correspondence; internal document collection; internal investigations; assist with witness preparation; interface with administrative agencies, and other external entities.
- Coordinate with Risk Management as applicable in the area of expertise.
- Assist counsel with reviewing and updating corporate policies and procedures in the area of expertise.
- Maintain law legal forms and template documents in the area of expertise.
- Support internal governance as applicable in the area of expertise.
25% Legal Research
- Research will be predominantly in the selected candidate's specialty area of law, but also may include, laws pertaining to health and health insurance, corporate governance, labor, employment, employee benefits, campaign finance, tax, intellectual property, federal and state procurements, Medicare and Medicaid. Research tasks will include:
(1) Conduct complex legal research for attorneys on federal, state, and local laws and regulations as needed.
(2) Review of proposed legislation and regulations, including research related to legislative history, monitoring notices of proposed and final regulations and bulletins, and assisting attorneys participating on legislative implementation teams.
(3) Prepare written documentation memorializing research for counsel and internal clients.
15% Other Duties as Assigned
- Assist with other duties as needed including, but not limited to: litigation matters including tangible and electronic document production and discovery; draft memoranda, and routine case correspondence; interface with opposing counsel, courts, administrative agencies, and other external entities; assist preparing charts, graphs, and spreadsheets; review and organize documents; interact with attorneys- clients to gather facts or other information at the direction of the attorneys; and other tasks as needed.
- Education Level: Bachelor's Degree or Associates Degree is required
- Paralegal certificate OR a Contract Management System Certificate (one or both)
- Experience: 7 years of legal work experience in the specified area of expertise in a midsize to large law firm or midsize to large corporate legal department with a focus on VENDOR contracts/contracting (Review, draft and negotiate a variety of commercial vendor contracts including but not limited to Consulting Services Agreements, Software License Agreements, SaaS Agreements, Non-Disclosure Agreements, etc.)
- Must have experience with SAP Ariba Contract MGT System or a similar platform
- Must have experience with corporate governance and employment law (Federal and State).
- Experience with creating, editing, and modifying documents in Microsoft Word, Excel, Powerpoint; including use of track changes and version control, highly proficient in the use of Adobe and similar programs for creation, editing, labeling and maintenance of PDF documents as needed
